Generally, a partnership agreement (if valid) would be valid and enforceable in any state. It is difficult to ascertain from your post exactly what your question is and as such, you may want to contact an attorney to discuss your concerns in further detail.

You may contact our office to schedule an appointment if you have further questions or if you need assistance with this issue. You can also schedule an appointment or obtain additional information at our website. Thank you.

A partnership valid in one state would be entitled to conduct business in other states. However, there are many potential issues that you should discuss with your CPA. For example, the partnership may need to file tax returns in other states (in which it conducts business); it may need to file with the Secretary of State in the other states (in which it conducts business). Again, those are only examples.
